MUFG Union Bank, N.A. seeks an experienced transactional commercial credit attorney with a minimum of 8 years’ experience to join the MUFG Americas Legal Department’s Commercial Lending team to support the Bank’s Commercial Banking units and related matters. This position requires strong background and experience in commercial middle market and mid-corporate secured and unsecured lending transactions, as well as workout and collection-related matters. Background and substantive experience in the following areas is required: secured and unsecured bilateral credit facilities, syndicated credit facilities (as both lead lender and participant lender), including letters of credit and swaps. Experience with real property secured lending and California state court collection, bankruptcy and workout matters is a plus. The location for the position is Los Angeles.
Independently providing legal advice, drafting and documentation support for bilateral and syndicated credit facilities;
Providing legal advice and support for structuring loan transactions;
Advising and assisting business units in developing and structuring new products and business initiatives;
Providing legal advice and documentation support on real property secured lending;
Providing legal advice and documentation support on workout and collection-related matters;
Evaluating, selecting, overseeing and managing outside counsel, including fee arrangements and budgets;
Consulting and collaborating with other in-house attorneys at the Bank;
Partnering with Compliance, Risk, and other units to manage risk; and
Advising on, participating in and assisting with the implementation of projects, new business and any other initiatives as assigned.
Member of the California State Bar with a minimum of eight years of relevant experience as an in-house attorney with a bank or financial institution or other experience with a law firm providing advice to banks or other financial institutions;
Basic understanding of the fundamentals of the three lines of defense approach to managing risk;
Team player with a strong work ethic, and a desire to learn and expand skills and responsibilities over time;
Creative and strategic thinker with the ability to influence, interact with and advise senior executives, build trusted relationships with clients and colleagues, deal constructively with conflict, issue advice and guidance with confidence and diplomacy;
Ability to deliver difficult messages with tact and sensitivity;
Excellent organizational skills and attention to detail;
Strong risk analysis skills and judgment;
Exceptional verbal and written communication and interpersonal skills; and
Ability to adapt to a fast-paced environment involving multiple simultaneous issues and transactions.
